These terms and conditions (“Agreement”) govern your use of our SaaS product eSignature (“App”)provided by [PaperSign Software Private Limited] ("Company"). By accessing or using the App, you agree to be bound by this Agreement. If you do not agree with any part of this Agreement, you must not use the App.

We grant you a non-exclusive, non-transferable license to use our product in accordance with these terms. This license is for your personal or internal business use only and does not allow you to resell or distribute our product.


1. Account Registration and Access

  1. 1.1. You must register for an account to use the App. You agree to provide accurate and complete information during the registration process. You are responsible for maintaining the confidentiality of your account credentials and are liable for any activity that occurs under your account.

2. Electronic Signatures

  1. 2.1. The App enables you to create, send, receive, and sign electronic documents. You understand and agree that electronic signatures created using the App have the same legal effect as handwritten signatures

3. User Obligations

  1. 3.1. You agree to use the App in compliance with all applicable laws and regulations. You shall not use the App for any illegal, unauthorized, or improper purposes, including but not limited to:
    1. Impersonating another person or entity.
    2. Uploading, transmitting, or sharing any content that is unlawful, harmful, defamatory, infringing, or otherwise objectionable.
    3. Engaging in any activity that disrupts or interferes with the functioning of the App.

4. Intellectual Property

  1. 4.1. The App and its associated content, including but not limited to software, designs, trademarks, and logos, are the exclusive property of the Company or its licensors. You shall not reproduce, modify, distribute, or create derivative works of the App without prior written consent from the Company.

5. Privacy and Data Protection

  1. 5.1. The Company collects and processes personal information in accordance with its Privacy Policy. By using the App, you consent to the Company's collection, use, and disclosure of personal information as described in the Privacy Policy.

6. Limitation of Liability

  1. 6.1. Our product and website are provided “as is” without any warranties or representations, express or implied. We disclaim all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

The Company shall not be liable for any direct, indirect, incidental, consequential, or exemplary damages arising out of or related to your use of the App. The Company does not guarantee the availability, accuracy, or reliability of the App or its features.

We will not be liable for any indirect, incidental, or consequential damages arising out of your use of our product or website, even if we have been advised of the possibility of such damages. Our total liability to you for any claim arising out of your use of our product or website will not exceed the fees paid by you for our product.

7. Indemnification

  1. 7.1. You agree to indemnify and hold the Company and its affiliates, officers, directors, employees, and agents harmless from any claims, losses, liabilities, damages, or expenses (including attorneys' fees) arising out of or related to your use of the App, violation of this Agreement, or infringement of any rights of a third party.

8. Modifications to the Agreement

  1. 8.1. The Company reserves the right to modify or update this Agreement at any time without prior notice. Any changes to the Agreement will be effective upon posting the revised version on the App. Your continued use of the App after the modifications constitute your acceptance of the revised Agreement.

9. Termination

  1. 9.1. The Company may suspend or terminate your access to the App at any time for any reason, without liability. Upon termination, you shall cease all use of the App, and the provisions of this Agreement that by their nature should survive termination shall continue to apply.

10. Governing Law and Dispute Resolution

  1. 10.1. These terms will be governed by and construed in accordance with the laws of Hyderabad, India. Any dispute arising out of or related to these terms will be resolved through arbitration in accordance with the rules of Hyderabad, India.
11. You agree to pay us the fees for our product as set forth on our website. You are responsible for all taxes associated with your use of our product.

  5. 5. Service Interruptions: We strive to provide a seamless and uninterrupted experience with our app. However, we cannot guarantee that the app will be continuously available or error-free. We may need to perform maintenance, updates, or resolve technical issues, which may result in temporary interruptions or limitations of the app's functionality. We shall not be liable for any loss or damage arising from any such interruptions or limitations.

Limitation of Liability: To the maximum extent permitted by law, we shall not be liable for any direct, indirect, incidental, consequential, or special damages arising out of or in any way connected with the use of our eSignature app, including but not limited to damages for loss of profits, data, or other intangible losses, even if we have been advised of the possibility of such damages. This limitation of liability applies to all claims, whether based on warranty, contract, tort, or any other legal theory.

Modifications: We reserve the right to modify, suspend, or discontinue any aspect of our eSignature app, including its features, functionality, pricing, and terms of use, at any time without prior notice. Confidentiality and Security: While our eSignature app incorporates security measures to protect the privacy and confidentiality of your shared documents and information, we cannot guarantee absolute confidentiality or prevent unauthorized access. It is your responsibility to exercise caution and use appropriate security measures when sharing sensitive or confidential information with third parties through our app. We recommend carefully reviewing and considering the nature of the information before sharing it and using any additional encryption or security measures you deem necessary.

Indemnification: You agree to indemnify and hold us harmless from any claims, demands, damages, losses, liabilities, and expenses (including legal fees) arising out of or in connection with your interactions with third parties, the content of the documents you share through our app, or any misuse or unauthorized access to such shared information.

Intellectual Property: Acknowledge that all intellectual property rights, including trademarks, copyrights, and patents, associated with your eSignature app and its content are owned by your company or its licensors. Inform users that they are not granted any rights or licenses to use the intellectual property except as expressly authorized in the terms of use or other agreements.
  13. 13. No Warranty: Clearly state that your eSignature app and its services are provided on an "as-is" and "as-available" basis. Disclaim any warranties, whether express or implied, including but not limited to the accuracy, reliability, availability, or fitness for a particular purpose of the app or its services. Inform users that they use the app at their own risk.
  14. 14. Compliance with Laws: Specify that users are responsible for complying with all applicable laws, regulations, and legal obligations when using your eSignature app. Clarify that your company does not provide legal advice and that users should seek legal counsel for any specific legal questions or concerns.
  15. 15. Termination: State that your company reserves the right to terminate or suspend access to the eSignature app, without prior notice, for any reason, including but not limited to violations of the terms of use or suspected fraudulent, illegal, or abusive activities. Clarify that termination of access may result in the deletion of user data and that your company shall not be liable for any loss of data or consequences arising from such termination.

Governing Law and Jurisdiction: Specify the governing law and jurisdiction that apply to the use of your eSignature app. This ensures that any disputes or legal proceedings will be subject to the laws of the applicable jurisdiction and that users agree to submit to the exclusive jurisdiction of the designated courts.
  17. 17. Severability: Include a severability clause stating that if any provision of the disclaimer is found to be invalid, unenforceable, or contrary to law, the remaining provisions shall continue to be valid and enforceable to the fullest extent permitted by law.

Entire Agreement:Clarify that the disclaimer, together with the terms of use or any other applicable agreements, constitutes the entire agreement between the user and your company regarding the use of the eSignature app, superseding any prior or contemporaneous agreements or understandings.

Agreement to eSignature Elements:

By using our eSignature app, you acknowledge and agree to the following eSignature elements.

  1. 1. Electronic SignaturesYou understand and accept that the use of our app constitutes the creation of an electronic signature. You acknowledge that electronic signatures have legal validity and are legally binding in accordance with applicable laws, regulations, and industry standards.
  2. 2. Consent to Electronic RecordsYou consent to the use of electronic records and documents in connection with your use of our eSignature app. You understand that documents and records in electronic form may be generated, sent, received, and stored electronically within the app.
  3. 3. Secure Authentication: You are responsible for ensuring the security and confidentiality of your login credentials and authentication methods when accessing and using our eSignature app. You agree not to share your login information and to promptly notify us of any unauthorized access or security breach.
  4. 4. Document Integrity: You understand that it is your responsibility to review and verify the accuracy and completeness of documents before applying your electronic signature. You agree that the integrity and authenticity of the documents are your sole responsibility.
  5. 5. Signature Authentication: You acknowledge that by applying your electronic signature to a document, you are providing an electronic representation of your signature and indicating your intent to sign the document. You agree that the use of your electronic signature is equivalent to your handwritten signature.
  6. 6. Non-Repudiation: You acknowledge that once you have applied your electronic signature to a document, you cannot deny or dispute the validity or authenticity of the signature. You agree that your electronic signature serves as evidence of your consent, intent, and agreement with the contents of the document.
  7. 7. Legal Compliance: You agree to use our eSignature app in compliance with all applicable laws, regulations, and legal obligations related to electronic signatures, data privacy, and document management. You are solely responsible for ensuring that your use of the app meets legal requirements in your jurisdiction.

Responsibility for Legality of eSignatures:

  1. 1. You acknowledge and agree that it is your responsibility to ensure the legality and compliance of using electronic signatures in specific scenarios or jurisdictions. While our eSignature app is designed to facilitate the use of electronic signatures in accordance with applicable laws and industry standards, we cannot guarantee or warrant the legality of electronic signatures in every jurisdiction or specific circumstances.
  2. 2. You understand that laws and regulations governing electronic signatures may vary by jurisdiction and may have specific requirements or exceptions. It is your responsibility to verify the legality and appropriateness of using electronic signatures for specific documents, transactions, or situations, and to seek legal advice when necessary.
  3. 3. By using our eSignature app, you agree that we shall not be held responsible or liable for any legal consequences, disputes, or claims arising from the use of electronic signatures in situations where they may not be legally recognized or accepted. You agree to indemnify and hold us harmless from any losses, damages, or liabilities arising from your use of electronic signatures in violation of applicable laws or regulations.

Aadhaar Verification

    By using our services and providing your Aadhaar number for verification purposes, you agree to the following:

    1. Consent to Aadhaar Verification:

      You acknowledge and consent to the verification of your Aadhaar number for the purpose of identity verification in accordance with applicable laws and regulations.

    2. Accuracy of Information:

      You confirm that the Aadhaar number provided by you is accurate and belongs to you. You understand that providing false or misleading information may result in the denial of services or legal consequences.

    3. Data Privacy and Security:

      We are committed to maintaining the privacy and security of your Aadhaar data. We adhere to all applicable laws and regulations regarding the collection, storage, and use of Aadhaar information.

    4. Purpose Limitation:

      We will only use your Aadhaar information for the purpose of identity verification and as permitted by law. We will not disclose or share your Aadhaar information with any third party without your explicit consent, except as required by law.

    5. Retention of Aadhaar Data:

      We may retain your Aadhaar information for the duration required by applicable laws and regulations. Upon the expiration of the retention period, we will securely dispose of your Aadhaar data.

    Please note that Aadhaar verification is subject to the provisions of the Aadhaar (Targeted Delivery of Financial and Other Subsidies, Benefits and Services) Act, 2016, and any other applicable laws and regulations governing Aadhaar verification.

    By agreeing to these terms and conditions, you acknowledge that you have read, understood, and agree to be bound by this Aadhaar Verification Agreement.
